In the event of any conflict between the terms of this Agreement and the terms of the TOU, this Agreement shall govern for purposes of the Nielsen SDK. We may modify this Agreement (including any Policies) at any time by posting a revised version on the Nielsen Engineering Client Portal at [[Main Page|https://engineeringportal.nielsen.com/wiki/Main_Page]] (including any subdirectories, subdomains or the like, the “'''Nielsen Engineering Client Portal'''”) or by otherwise notifying You in accordance with Section 13. The modified terms will become effective upon posting or, if We notify you by email, as stated in the email message. By continuing to use the Nielsen Engineering Client Portal or Nielsen SDK after the effective date of any modifications to this Agreement, You agree to be bound by the modified terms. It is Your responsibility to check the Nielsen Engineering Client Portal regularly for modifications to this Agreement. We last modified this Agreement on the date listed at the beginning of this Agreement.
1. ''' Intellectual Property and Restrictions'''. Subject to all the terms and conditions of this Agreement, Nielsen hereby grants You a non-exclusive, non-transferable, revocable, royalty-free limited license under Nielsen’s intellectual property rights in Nielsen SDK, during the Term, solely for the Purpose (defined below in Section 1.1), to internally install the Nielsen SDK at the Location and use a reasonable number of copies of the Nielsen SDK (in object code and source code to the extent provided by Nielsen) for the purpose of Testing the Developed Application.
1.1 Notwithstanding anything else in this Agreement, the Nielsen Product and Nielsen SDK Integration Assistance & Diagnostic Tool shall be used by, on behalf of or for You for the sole purpose of (i) internally Testing the Nielsen Product with the Licensee Application solely during the Term (as defined in Section 11) (unless extended by Nielsen in writing) and (ii) providing Feedback to Nielsen thereon, relative to a possible subsequent commercial license and separate written agreement between the Parties (a “'''Commercial License'''”) (clause (i) and (ii) together, the "'''Purpose'''"). Upon expiration of the Term, contact a Nielsen team member to discuss a Commercial License for any use by You of the Nielsen SDK beyond the Purpose.2 The Nielsen Product and Nielsen SDK Integration Assistance & Diagnostic Tool is licensed and not sold, and ownership of the Nielsen Product and Nielsen SDK Integration Assistance & Diagnostic Tool and all intellectual property rights and goodwill associated therewith shall remain with and accrue to Nielsen alone. The Nielsen Product and Nielsen SDK Integration Assistance & Diagnostic Tool contains material that is protected by United States copyright laws, patent laws, trade secret laws, and by international treaty provisions. All intellectual property rights and licenses not expressly granted herein are reserved by Nielsen. You shall maintain on, and may not remove, alter or modify, any identifying mark, copyright, trademark, or other proprietary notice of Nielsen, its affiliates, or its licensors from any copy of Nielsen Product.
1.3 You shall not and shall not allow any third party to: (a) rent, lease, loan, license, sublicense, distribute, transfer, publish, display, disclose, or permit access to any Nielsen Product or Nielsen SDK Integration Assistance & Diagnostic Tool, except to the extent that You are explicitly authorized to do so under this Agreement; (b) copy, reproduce, modify, change, alter or Update any Nielsen Product or Nielsen SDK Integration Assistance & Diagnostic Tool or any part thereof, except to the extent that You are explicitly authorized to do so under this Agreement; (c) access, reverse engineer, decompile, translate, adapt, disassemble, decrypt or otherwise use any Process to discover the source code of any Nielsen Product, Nielsen SDK Integration Assistance & Diagnostic Tool or any Output; (d) use a proxy server or any other technology to intercept, store or divert any Output contrary to the Purpose; (e) remove, alter or modify any identifying mark, copyright, or other proprietary notice of Nielsen, its affiliates, or its licensors from any copy of Nielsen Product or Nielsen SDK Integration Assistance & Diagnostic Tool; (f) attempt to obtain the name, location of, or contact, any Nielsen panelist, household member or other person(s) furnishing data to Nielsen ("'''Respondent'''"); and (g) use or disclose any Respondent’s data (in the event that such data or information comes to its attention); and will keep all information it learns about any Respondent in confidence and will promptly notify Nielsen that such information has come to its attention.
1.4 The license granted hereunder does not contemplate the collection, storage, use, disclosure, or destruction of Personal Information and You shall not cause Nielsen to receive or otherwise collect, store, use, disclose, or destroy Personal Information under the terms of the license hereunder.
1.5 To the extent there is a conflict between this Section 1 and anything else in this Agreement, this Section 1 will govern.
2. '''Feedback'''. You may at your sole discretion provide Feedback to Nielsen. You shall own all Feedback that You provide, subject to the grant hereby to Nielsen of a worldwide, irrevocable, royalty-free and fully-paid up license to use and practice the Feedback in or with Nielsen’s business activities, including without limitation its product and service offerings.
3. '''Third-Party Materials'''. Nielsen Product and any Updates provided by Nielsen may include software and/or materials provided under license by third parties (collectively, "'''Third-Party Materials"'''). The Parties acknowledge and agree that the use of such Third-Party Materials is subject to terms of the licenses as specified in any applicable documentation and You shall comply with the terms and conditions of such licenses.
4. '''Commercial Agreement'''. Nothing in this Agreement suggests or requires that You purchase any services from Nielsen; or that Nielsen provide any services to You. The Parties agree that the purchase or provision thereof must be subject to a separate written commercial agreement between the Parties.
5. '''Confidentiality'''.
5.1 For the purposes of this Agreement, "Confidential Information" shall mean: all Nielsen Product and Nielsen SDK Integration Assistance & Diagnostic Tool; any Licensee Application disclosed hereunder; the terms and conditions of this Agreement; and any other information disclosed by a Party (the "Disclosing Party") that: if disclosed in writing, is marked "confidential" or in a similar manner sufficient to put the other Party receiving the information (the "Receiving Party") on notice of the claim of confidentiality; and if disclosed verbally, is reduced to a writing that is so marked within thirty (30) days after such verbal disclosure; and information that would, under the circumstances, appear to a reasonable person to be confidential or proprietary. The Receiving Party will use the Confidential Information only for the Purpose and will limit access to the Confidential Information to those of its officers, employees and authorized contractors ("'''Representatives'''") who have a bona fide need to access the Confidential Information for the Purpose. The Receiving Party will not disclose any Confidential Information to any third party (other than said Representatives) and the Receiving Party shall make all of said Representatives aware of the fact that the Confidential Information is confidential and contractually bind Representatives to the obligations owing to the Disclosing Party. The Receiving Party shall be responsible for the acts or omissions of its Representatives with regard to Confidential Information and for any breach by any of them of said obligations or any other terms of this Agreement. The Receiving Party agrees to maintain security measures adequate to safeguard all Confidential Information from unauthorized disclosure, access, use and misappropriation and to maintain the confidentiality of the Confidential Information, using at least the same degree of care as the Receiving Party uses to maintain the confidentiality of its own highly confidential information and trade secrets and in no event with less than a reasonable degree of care.
5.2 The Receiving Party’s obligations under this Agreement with regard to Confidential Information shall not include any information: (i) that at the time of disclosure is, or thereafter becomes, generally available to and known by the public (other than as a result of a disclosure directly or indirectly by the Receiving Party), (ii) that at the time of disclosure is, or thereafter becomes, available to the Receiving Party on a non-confidential basis from a source other than the Disclosing Party, provided that such source is not and was not bound by a confidentiality agreement with the Disclosing Party or under any other legal obligation of non-disclosure; (iii) that is independently developed without access to the applicable Confidential Information (and can be demonstrably proven as such) by the Receiving Party and in compliance with all of its obligations under this Agreement; or (iv) to the extent disclosure is required by legal process providing that the Receiving Party promptly notifies the Disclosing Party of said legal process, so that the Disclosing Party may seek a protective order to limit such disclosure and any such disclosure is limited to the information being requested.
5.3 If the Receiving Party becomes aware of any threatened or actual misappropriation, unauthorized access to, use or disclosure of, or any inability to account for any Confidential Information, the Receiving Party will promptly notify the Disclosing Party of the details thereof and will immediately use its own commercially reasonable efforts and provide all reasonable assistance to the Disclosing Party to terminate or at least minimize any such threatened or actual misappropriation and unauthorized access, use or disclosure, and/or to recover any misappropriated or unaccounted for Confidential Information.
6. '''Publicity'''. Nothing contained in this Agreement shall be construed as conferring any right on either Party to use in advertising, publicity, promotional activities or other communication, any name, trade name, trademark, trade dress or other designation of the other Party (including any contraction, abbreviation or simulation of any of the foregoing), without the express written approval of the other Party.
7. '''Injunctive Relief'''. You acknowledge that any breach or violation of this Agreement may cause irreparable harm to Nielsen, for which remedies at law may not be adequate and therefore You agree that in the event of any actual or threatened breach or violation hereof, Nielsen, in addition to any other rights or remedies it may have hereunder or at law or in equity, shall be entitled to seek such injunctive relief.
8. '''Warranties and Disclaimers; Indemnification'''.
8.1 EXCEPT AS EXPRESSLY SET FORTH HEREIN, LICENSEE EXPRESSLY ACKNOWLEDGES THAT ALL NIELSEN PRODUCT AND THE NIELSEN SDK INTEGRATION ASSISTANCE & DIAGNOSTIC TOOL IS PROVIDED "AS IS" AND ANY INSTALLATION OF OR USE BY LICENSEE OF ANY NIELSEN PRODUCT OR NIELSEN SDK INTEGRATION ASSISTANCE & DIAGNOSTIC TOOL IS AT LICENSEE’S OWN RISK. TO THE MAXIMUM EXTENT PERMITTED BY LAW, NIELSEN DISCLAIMS ALL WARRANTIES OF ANY KIND, EITHER EXPRESSED OR IMPLIED, INCLUDING WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT. THE NIELSEN PRODUCT AND NIELSEN SDK INTEGRATION ASSISTANCE & DIAGNOSTIC TOOL ARE NOT INTENDED FOR ANY USE IN WHICH THE FAILURE THEREOF COULD LEAD TO DEATH, PERSONAL INJURY, OR ENVIRONMENTAL DAMAGE. LICENSEE REPRESENTS AND WARRANTS TO NIELSEN THAT DEVELOPED APPLICATION, IF DISTRIBUTED IN ACCORDANCE WITH THE LICENSES GRANTED HEREIN, SHALL NOT RESULT IN NIELSEN PRODUCT OR NIELSEN SDK INTEGRATION ASSISTANCE & DIAGNOSTIC TOOL BECOMING SUBJECT TO THE TERMS OF AN OPEN SOURCE LICENSE UNDER WHICH DOWNSTREAM RECIPIENTS OR OTHER THIRD PARTIES MAY CLAIM THE RIGHT TO (I) COPY, CREATE DERIVATIVE WORKS OF, OR REDISTRIBUTE ANY NIELSEN PRODUCT OR NIELSEN SDK INTEGRATION ASSISTANCE & DIAGNOSTIC TOOL, OR (II) RECEIVE SOURCE CODE TO ANY NIELSEN PRODUCT OR NIELSEN SDK INTEGRATION ASSISTANCE & DIAGNOSTIC TOOL.
8.2 Licensee shall defend, indemnify, and hold harmless Nielsen from and against any actual or threatened losses, judgments, awards, damages, liabilities, fines, penalties, and expenses, including reasonable attorneys’ fees, arising out of or in connection with any claims, actions, or suits brought by a third party (collectively, “'''Claims'''”), that arise out of or result from (i) Licensee’s or any of its Representative's misuse of any Nielsen Product or Nielsen SDK Integration Assistance & Diagnostic Tool or use of any Nielsen Product or Nielsen SDK Integration Assistance & Diagnostic Tool in violation of this Agreement or any breach by Licensee or any of its Representatives of Section 1, (ii) an allegation that the Licensee Application, Licensee Encoder Application or Developed Application (except to the extent resulting from the Nielsen SDK as originally provided by Nielsen to Licensee hereunder) infringe, misappropriate or otherwise violate any third party’s intellectual property, proprietary or other rights; (iii) any breach by Licensee or any of its Representatives of its confidentiality obligations hereunder; (iv) an allegation of willful misconduct or negligent acts or omissions by Licensee or any of its Representatives, or (v) an allegation that Licensee or any of its Representatives has violated Applicable Law. Nielsen may, at its option and cost, participate in the defense of any such Claim. Any settlement or compromise shall be made only with the prior written consent of Nielsen if the settlement or compromise includes any admission, obligation, or liability on behalf of Nielsen or would have a judicially binding effect on Nielsen.
9. '''Limitation of Liability'''. TO THE MAXIMUM EXTENT ALLOWED BY LAW, IN NO EVENT WILL NIELSEN BE LIABLE TO LICENSEE FOR ANY INCIDENTAL OR CONSEQUENTIAL DAMAGES (INCLUDING, WITHOUT LIMITATION, INDIRECT, SPECIAL, PUNITIVE, OR EXEMPLARY DAMAGES FOR LOSS OF BUSINESS, LOSS OF PROFITS, BUSINESS INTERRUPTION, OR LOSS OF BUSINESS INFORMATION) ARISING OUT OF THE INSTALLATION, USE OF OR INABILITY TO USE ANY NIELSEN PRODUCT, NIELSEN SDK INTEGRATION ASSISTANCE & DIAGNOSTIC TOOL, DEVELOPED APPLICATION, LICENSEE ENCODER APPLICATION OR LICENSEE APPLICATION, OR ARISING OUT OF ANY THIRD PARTY CLAIM, EVEN IF LICENSEE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE LAWS OF SOME STATES DO NOT ALLOW THE EXCLUSION OF INCIDENTAL OR CONSEQUENTIAL DAMAGES, SO CERTAIN LIMITATIONS SET FORTH IN THE TERMS ABOVE MAY NOT BE APPLICABLE TO NIELSEN. IN NO EVENT WILL NIELSEN’S LIABILITY EXCEED TEN THOUSAND ($10,000) U.S. DOLLARS.
10. '''Export Restrictions'''.
10.1 '''Compliance with Laws'''. THE NIELSEN PRODUCT AND NIELSEN SDK INTEGRATION ASSISTANCE & DIAGNOSTIC TOOL ARE SUBJECT TO THE U.S. EXPORT CONTROL LAWS AND REGULATIONS, INCLUDING THE U.S. EXPORT ADMINISTRATION REGULATIONS (EAR) AND VARIOUS ECONOMIC SANCTIONS PROGRAMS MAINTAINED BY THE U.S. DEPARTMENT OF THE TREASURY’S OFFICE OF FOREIGN ASSETS CONTROL (OFAC). LICENSEE SHALL COMPLY WITH ALL SUCH APPLICABLE LAWS AND REGULATIONS.
10.2 '''Prohibited Destinations and Parties'''. LICENSEE REPRESENTS AND WARRANTS THAT IT IS NOT, AND WILL NOT ALLOW ANY THIRD PARTY TO ACCESS ANY NIELSEN PRODUCT OR THE NIELSEN SDK INTEGRATION ASSISTANCE & DIAGNOSTIC TOOL WHO IS: (I) LOCATED IN ANY COUNTRY OR REGION SUBJECT TO COMPREHENSIVE U.S. TRADE SANCTIONS; OR (II) IDENTIFIED ON ANY U.S. GOVERNMENT LIST OF RESTRICTED PARTIES, INCLUDING BUT NOT LIMITED TO THE SPECIALLY DESIGNATED NATIONALS (SDN) LIST OR THE ENTITY LIST.
10.3 '''Restricted Use'''. LICENSEE SHALL NOT USE ANY NIELSEN PRODUCT OR THE NIELSEN SDK INTEGRATION ASSISTANCE & DIAGNOSTIC TOOL FOR ANY PURPOSES PROHIBITED BY UNITED STATES LAW.
10.4 '''Cooperation'''. LICENSEE SHALL, AT ITS OWN EXPENSE, PROVIDE NIELSEN WITH SUCH INFORMATION AND ASSISTANCE AS NIELSEN MAY REASONABLY REQUEST TO ENSURE COMPLIANCE WITH EXPORT LAWS, INCLUDING OBTAINING ANY NECESSARY LICENSES OR AUTHORIZATIONS REQUIRED FOR THE EXPORT OR RE-EXPORT OF NIELSEN PRODUCT OR THE NIELSEN SDK INTEGRATION ASSISTANCE & DIAGNOSTIC TOOL.
11. '''Term and Termination'''. This Agreement shall commence on the Effective Date and continue until the earlier of (i) completion of Testing and (ii) six (6) months from when You download the Nielsen SDK, unless terminated earlier under the terms of this Agreement, or unless Nielsen notifies Licensee in writing that it wishes to extend the Agreement until a particular date (the "'''Term'''"). Either Party may terminate this Agreement for any reason or no reason, upon thirty (30) calendar days’ notice to the other Party. Either Party may terminate this Agreement immediately upon written notice if: (i) the other Party materially breaches any provision of this Agreement and fails to cure such breach within thirty (30) days of receipt of written notice; or (ii) the other Party violates any applicable law, rule or regulation in connection with its performance under this Agreement. Upon expiration or earlier termination of this Agreement, (i) Licensee shall cease all use of Nielsen Product and the Nielsen SDK Integration Assistance and Diagnostic Tool and contact a Nielsen team member to discuss and execute an appropriate Commercial License for any use by You of the Nielsen SDK beyond the Purpose, and (ii) within thirty (30) days after the effective date of expiration or earlier termination of this Agreement, each Receiving Party shall cease use of and tender to or destroy all Confidential Information of the Disclosing Party in the possession or control of the Receiving Party and/or its Representatives and deliver written confirmation of the foregoing to the Disclosing Party.
12. '''Entire Agreement.''' This Agreement constitutes the entire Agreement between the Parties on the subject matter hereof and supersedes all prior or contemporaneous oral or written communications, proposals, representations and warranties and prevails over any conflicting or additional terms of any other agreement, quote, order or other communication between the Parties. If the Parties subsequently enter into a separate written commercial agreement with respect to Nielsen Product ("'''Production License'''"), such Production License will govern in the case of a conflict between this Agreement and the Production License. No modification or waiver of this Agreement will be binding, unless in writing and signed by the authorized representatives of the Parties.
13. '''Notices'''. We may provide any notice to You under this Agreement by (i) posting a notice on the Nielsen Engineering Client Portal or (ii) sending a message to the email address associated with Your account. Notices we provide by posting on the Nielsen Engineering Client Portal will be effective upon posting and notices We provide by email will be effective when We send the email. It is Your responsibility to keep Your email address current. You will be deemed to have received any email sent to the email address then associated with Your account when We send the email, whether or not You actually receive the email. Any notice or request hereunder shall be in writing and deemed given on the date received when delivered personally or by nationally recognized delivery service to Nielsen at The Nielsen Company, 675 Avenue of the Americas, New York, NY 10010, Attention Legal, with a copy via email to legal.notices@nielsen.com; and (ii) if to Client at the physical and/or email address(es) set forth on the registration and/or check-out process page(s) of the Nielsen Engineering Client Portal.
14. '''Miscellaneous'''. All terms and conditions that by their nature survive any expiration or termination of this Agreement, including but not limited to those relating to confidentiality, shall survive any expiration or termination of this Agreement until fulfilled. Without limiting the foregoing, the Parties agree that all provisions relating to Sections 2 (Feedback), and Sections 5 through 10, shall survive the termination or expiration of this Agreement. This Agreement is for the benefit of and binding on the Parties. Licensee will not assign this Agreement or its rights or obligations under this Agreement without the prior written consent of Nielsen. Any purported assignment in violation of this Section shall be null and void. Licensee shall have sole responsibility for all fees and taxes related to its use of Nielsen Product and Developed Application, including but not limited to value-added, goods, services, sales and use taxes. This Agreement may not be construed to either establish any form of partnership, agency, franchise or joint venture of any kind between Licensee and Nielsen, or establish either Party as the agent, employee, or any other form of representative of the other Party. Each Party agrees that its decision to enter into this Agreement is made independent of and without reliance on any promises, inducements, representations or other statements made by the other Party, including without limitation, regarding the commercial viability, profitability or success in the marketplace of any products or services. This Agreement shall be governed by the laws of the State of New York, United States of America, without regard to its choice of law provisions. The Parties agree to the exclusive personal jurisdiction of the State and Federal courts located in New York County, New York for the purposes of resolving all disputes arising in connection with this Agreement and each Party hereby waives all objections to venue in those courts.

In addition to capitalized terms that are defined anywhere in this Agreement, the following capitalized terms shall have the following meanings for the purposes of this Agreement.
* "'''DAR Data'''" means exposure and activity data for an advertising campaign, collected by the Functions of the Nielsen APP SDK by Processing DAR Tags.
* "'''DAR Tag(s''')" means the tagging code inserted in an advertising campaign for the purpose of collecting DAR Data on such advertising campaign and facilitating Nielsen’s digital ad ratings ("'''DAR'''").
* "'''Developed Application'''" means (a) a Licensee Application that has been adapted by, on behalf of or for You to call, link to, interface with, incorporate, integrate or otherwise use the Nielsen APP SDK (in binary form only) and incorporates one or more Functions of the Nielsen APP SDK for Processing Output; and/or (b) a Licensee Encoder Application that has been adapted by, on behalf of or for Licensee to call, link to, interface with, incorporate, integrate or otherwise use the Nielsen PCM TO ID3 SDK (in binary form only) and incorporates one or more Functions of the Nielsen PCM TO ID3 SDK to Process a multi-media content stream input format containing WATERMARKS into a multi-media content output format containing ID3 Tags.
* "'''Device(s)'''" means one or more IP-enabled computing devices capable of executing a Developed Application.

* "'''Feedback'''" means any and all comments and/or feedback, including but not limited to any ideas, suggestions, improvements, comments, errors, bug reports and other feedback that may be provided by You to Nielsen with regard to Nielsen Product.
* "'''ID3 TAG(S)'''" means a data container that conforms to an identified ID3 specification where such container can be stored as an independent part of MPEG format content and such data comprises Nielsen proprietary, encrypted content-related meta-data.
* "'''Licensee Application'''" means a Licensee owned or controlled software application capable of playing multi-media content that is streamed to the Device on which it is executing; provided that, in no case will Licensee Application be deemed to include any Function of Nielsen APP SDK or input to or Output of the Nielsen APP SDK
* "'''Licensee Encoder Application'''" means Licensee’s encoding software, provided that in no case will Licensee Encoder Application be deemed to include any Function of, input to, or Output of Nielsen PCM TO ID3 SDK.
* '''"Location"''' means those facilities owned or controlled by You or Your Representatives.
* "'''TVR Data'''" means all content-related and/or Device-related data and other information, including without limitation ID3 TAG metadata that is Processed by a Nielsen APP SDK, including for the purpose of measuring exposure and activity data for digital video content.
* "'''Nielsen APP SDK'''" means Nielsen’s proprietary SDK, all Functions thereof and all documentation and materials provided by Nielsen, including to enable: (a) the capture of ID3 Tags embedded in content that is streamed or downloaded to a Developed Application on a Device, the collection of TVR Data, and the delivery of such TVR Data directly to Nielsen or its data providers; (b) the capture and generation of DCR Tags from metadata related to content that is streamed or downloaded to a Developed Application on a Device and/or by Processing ID3 Tags, the collection and delivery of such DCR Data directly to Nielsen or its data providers; (c) the detection and Processing of DAR Tags in advertisements viewed or played in a Developed Application on a Device, the collection of DAR Data, the obtaining of a unique advertising identifier ("Device ad-ID") from such Devices, and the delivery of DAR Data directly to Nielsen or its data providers; and (d) other collection of Output and the delivery of such Output directly to Nielsen or its data providers; and which may include a sample application (with source code), which is not production-worthy and is provided solely for internal use as an aid in software application development.
* "'''Nielsen PCM TO ID3 SDK'''" means Nielsen’s proprietary SDK and Updates thereto and Functions thereof, including but not limited to Functions for converting a pulse-code modulated ("'''PCM'''") format multi-media content stream (containing embedded Watermarks) to a multi-media content stream (containing ID3 Tags) that is viewable on a Device. The Nielsen PCM TO ID3 SDK includes a sample (non-production ready) application (source code included), which is provided by Nielsen solely for internal use as an example to aid in the (internal only) development of the Licensee Application as well as a sample (non-production worthy) test application to verify the output ID3 TAG.
* "'''Nielsen Product"''' means the Nielsen APP SDK, Nielsen PCM TO ID3 SDK, ID3 Tags, DAR Tags, DCR Tags; all Updates thereto and Functions thereof, Output, and all related documentation provided by Nielsen to You.
* "'''Nielsen SDK'''" means the Nielsen APP SDK and/or the Nielsen PCM TO ID3 SDK, as selected for download by Licensee.
* “'''Nielsen SDK Integration Assistance & Diagnostic Tool'''” means certain Nielsen tools, guidance, instructions, materials and information provided by Nielsen to assist You with integrating the Nielsen SDK and validating the integration, including integration and validation aides, to assist You to successfully integrate the Nielsen SDK for content measurement.
* "'''Output'''" means TVR Data, DAR Data, and DCR Data and any other data Processed by one or more of the Functions of a Nielsen APP SDK or Nielsen PCM TO ID3 SDK provided under this Agreement.
* “'''Personal Information'''” includes “personal data” or “personally identifiable information” (as defined by Applicable Data Protection Law) and means information used to identify an individual that alone or in combination with other information relates to, describes, or is reasonably capable of being associated with, or could reasonably be linked, directly or indirectly, with, an individual, household, or device.

* "'''Watermark(s''')" means acoustically masked data that has been repetitively encoded onto or embedded within a signal stream by Nielsen proprietary techniques. The data includes information about the source distributor/network of content and a date/time stamp associated with that instant of the associated content.
